Wołoszański & Partners assisted a leading RegTech provider, Web Shield, with legal advice on the sale of its shares in the Web Shield Group to ZignSec AB, a company based in Sweden. ZignSec AB is acquiring 100% of the shares of the UK-based company Web Shield Ltd, including the subsidiaries Web Shield Services GmbH, Web Shield Services Polska sp. z o.o and 50% of Web Shield Legal Library sp. z o.o. and Web Shield Legal Library sp. z o. o. sp. k. for EUR 28 million. The acquisition agreement was signed on June 6, 2021.
During the sales process, Web Shield was supported by an international team of experts specialising in transaction consulting, coordinated by Wołoszański & Partners, with the Managing Partner – Michał Wołoszański – entrusted with the overall project leadership.
The consulting services focused particularly on the management of several teams in the UK, Germany, Poland and Sweden alongside conducting a financial due diligence review of the Web Shield Group.
Legal assistance in the UK was provided by Ellisons Solicitors – Alliott Global Alliance’s law firm member that was responsible, among others, for the due diligence of Web Shield Ltd. The transaction in Sweden was backed by Magnusson – a Stockholm-based international business law firm.
