Paula Miszczuk

Paula Miszczuk, an advocate, advises company management boards, start-up founders and investors at various stages of business development - from incorporation, through funding rounds and reorganisations, to corporate disputes and liquidation.

Paula has worked with businesses since 2019. She advises management boards, shareholders and supervisory boards on corporate governance and on the liability of members of company bodies. She independently runs simplified mergers and divisions of capital companies - from the reorganisation plan to the registration proceedings at the National Court Register (KRS). She also drafts and negotiates documentation for share transactions, including share sale agreements.

For start-ups and private investors, she drafts and negotiates investment agreements and shareholders' agreements (SHA). She designs employee incentive schemes (ESOP and VSOP) and structures start-up financing instruments, in particular convertible loan agreements (CLA). For UK clients, she prepares LTD company documentation and filings with Companies House, the UK register of companies.

She handles commercial and corporate disputes, including those concerning the liability of management board members and challenges to resolutions, as well as debt recovery from the pre-litigation stage to enforcement. For technology and digital marketing businesses, she implements GDPR documentation and negotiates contracts for SEO and performance marketing services.

She graduated in law from the University of Warsaw with a Master's degree in Law.

She completed her advocate traineeship at the Warsaw District Bar Council (Okręgowa Rada Adwokacka w Warszawie). Since 2022 she has been entered on the list of advocates kept by the Warsaw District Bar Council.

Since 2026 she has been attending the postgraduate programme in Artificial Intelligence Law ("Prawo Sztucznej Inteligencji") at Kozminski University in Warsaw.
